COMMERCIAL TERMS AND CONDITIONS

1. INTRODUCTORY PROVISIONS

1.1 The present Commercial Terms and Conditions (hereinafter referred to as the “Commercial Terms”) of company Luciferlights s.r.o are in accordance with the provisions of Section 1751 (1) of Act No. 89/2012 Coll., the Civil Code, valid from 13.5.2019 and are integral part of purchase contract between:

Luciferlights, s.r.o, registered office at Prague 8, Služská 779/30, Postal Code: 182 00, Identification No.: 05495482, registered in the Commercial Register in Prague (hereinafter the “Seller”) and the Buyer through the Seller’s e-shop, a website on https://www.luciferlights.net (hereinafter the “Website“), via the web interface (hereinafter the “E-Shop Web Interface“).

1.2 Buyer is is a natural person, as well as to cases where the person who intends to buy the goods from the Seller is a legal entity or an entity that acts in ordering the goods within the scope of its business activity or within the scope of independent performance of a profession.

If the party to the Contract is Buyer as a consumer (buying the goods for a purpose other than business), the relationships not regulated by these Commercial Terms are governed by Act No. 89/2012 Coll., the Civil Code, as amended, and Act No. 634/1992 Coll. on Consumer Protection, as amended.

If the party to the Contract is LE Buyer (buying the goods for the purpose of their resale, i.e. for the purpose of business), the relationships not regulated by these Commercial Terms are governed by Act No. 89/2012 Coll., the Civil Code, as amended.

1.3 The provisions of the Commercial Terms form an integral part of the Purchase Contract. The Purchase Contract and the Commercial Terms are executed in Czech. The Purchase Contract may be concluded in Czech.

1.4 The Seller may change or amend the wording of the Business Terms and Conditions. The above clause shall not affect any rights or obligations that came into existence during the term of any previous version of the Business Terms and Conditions.

1.5 Seller is VAT registered company.

2. ENTRY INTO THE PURCHASE AGREEMENT

2.1 To order goods, the Buyer shall complete an order form available at the E-shop Web Interface. Sending the Order shall be considered an act of the Buyer that unequivocally identifies the ordered goods, purchase price, the Buyer, purchase price payment method, and shall represent a binding Purchase Agreement draft for the Parties. For the Order to be valid, all the required information need to be filled in the Order Form. Immediately after receiving the Order, the Seller shall confirm receipt of the Order to the Buyer by sending an electronic message to the Buyer's email address provided in the user interface or in the Order (hereinafter referred to as "the Buyer's Email Address"). The contractual relationship between the Seller and the Buyer is established by delivering the Order acceptance, sent by the Seller to the Buyer by email sent to the Buyer's Email Address.

Identifikační údaje kupujícího jsou zejména jeho jméno a příjmení případně název obchodní firmy, bydliště či sídlo, datum narození či IČ, dále pak emailová adresa, kontaktní telefon, případně doručovací adresa.

The E-shop Web Interface provides information on the goods including the prices of individual goods. The goods prices are stated including value added tax and all related fees. The prices of goods shall remain valid while displayed on the E-shop Web Interface. The E-shop Web Interface also includes packaging and delivery cost information.

For the Order to be valid, all the required information need to be filled in the Order Form; the Buyer shall acknowledge they have read and agree to the Business Terms and Conditions on the Website. The contractual relationship between the Seller and the Buyer is established by delivering the Order acceptance, sent by the Seller to the Buyer by email sent to the Buyer's Email Address.

2.2 Any presentation of goods placed on the E-shop Web Interface is of informative nature and the Seller shall not be obliged to enter into a purchase agreement concerning such goods. The provision of Section 1732(2) of the Civil Code shall not be applied.

2.3 All information written in the comment section of the order form is part of purchase agreement. In the event the Seller shall be unable to meet any of the requirements specified in the Order, the Seller shall send a modified Offer to the Buyer to the Buyer's Email Address, specifying the possible Order options, and shall require the Buyer's opinion.

2.4 Based on the type of Order (volume, purchase price amount, estimated shipping cost) the Seller shall always be entitled to ask the Buyer for subsequent Order confirmation (e.g. in writing or by phone).

3. RIGHTS AND OBLIGATIONS OF THE PARTIES

3.1 Uzavřením kupní smlouvy vzniká prodávajícímu povinnost odevzdat kupujícímu objednané zboží a kupujícímu povinnost za toto zboží prodávajícímu zaplatit sjednanou cenu.

3.2 Kupující je povinen převzít zboží objednané a dodané v souladu s kupní smlouvou a těmito obchodními podmínkami.

3.3 V případě, že je nezbytné z důvodů na straně kupujícího, dodávat zboží jinak, než bylo ve smlouvě smluveno, je prodávající oprávněn požadovat po kupujícím veškeré náklady s tímto doručením spojené.

4. WITHDRAWAL FROM THE CONTRACT

4.1 The Buyer is entitled to withdraw from the concluded Purchase Contract using means of remote communication without giving any reason and without any sanction in accordance with the provisions of Section 1829 (1) of the Civil Code, with the exception of cases specified in the provisions of Section 1837 of the Civil Code.

4.2 Withdrawal from the Purchase Contract shall be made by the Buyer using the form,forming an annex to these Commercial Terms. - http://www.luciferlights.net/OdstoupeniOdSmlouvy.doc. The Buyer may also send the notice of withdrawal from the Purchase Contract to the Seller’s registered office address or to the Seller’s electronic mail address.

4.3 Withdrawal from the Contract must be made within 14 days from the date following the day the goods were taken over by the Buyer or by a third party designated by the Buyer. If the Buyer withdraws from the Contract, the Buyer shall send to the Seller without undue delay, no later than 14 days from the withdrawal from the Contract, the goods received from the Seller, to the Seller’s registered office address, preferably in the original packaging, including packaging of the goods. The costs associated with the return of goods in the case of withdrawal from the Contract shall be borne by the Buyer.

4.4 If the Buyer withdraws from the Contract, the Seller shall return to the Buyer without undue delay, no later than 14 days after withdrawal from the Contract, the monetary funds, including delivery costs received from the Buyer under the Contract.

4.5 If the Buyer withdraws from the Purchase Contract, the Seller is not obliged to return the received money before the goods are delivered to the Seller’s registered office.

4.6 The costs associated with the return of goods in the case of withdrawal from the Contract shall be borne by the Buyer.

4.7 Kupující odpovídá prodávajícímu za snížení hodnoty zboží, které vzniklo v důsledku nakládání s tímto zbožím jinak, než je nutné s ním nakládat s ohledem na jeho povahu a vlastnosti.

4.8 The Buyer notes that according to the provisions of Section 1837 of the Civil Code, it is not possible to withdraw from a Purchase Contract for delivery of the goods that have been modified according to the Buyer’s wishes or for the Buyer’s person, and from the purchase contract for delivery of the goods that have been irreversibly combined with other goods after the delivery.

4.9 The Seller reserves the right to withdraw from the Purchase Contract if the order was placed to be delivered to an apparently doubtful or non-existent delivery address, if the order was placed for an obviously speculative purpose, if the ordered goods have already been sold out and cannot be replaced by goods of equivalent quality and price or if the goods are no longer manufactured or delivered, the price of the goods supplied by the Seller’s supplier has significantly changed, the goods are unavailable for a long time or an incorrect purchase price was quoted in the e-shop by mistake or due to an administrative error.

5. PRICE OF GOODS

5.1 Kupující není povinen hradit prodávajícímu zálohu na objednané zboží, s výjimkou případů výslovně v objednávce dohodnutých.

5.2 Zboží bude kupujícímu dodáno / předáno až po zaplacení celé kupní ceny včetně nákladů na doručení. Kupní cena je splatná v okamžiku převzetí zboží. V případě bezhotovostní platby na účet prodávajícího je kupní cena splatná do 14 dní po uzavření smlouvy.

5.3 The Buyer assumes ownership rights to the goods upon payment of the entire purchase price of the goods.

5.4 The tax document – invoice – shall be issued by the Seller to the Buyer after payment of the goods price is made; the Seller shall send the invoice in electronic form to the Buyer's Email Address.

7. PAYMENT TERMS

The price of the goods and other costs related to the delivery of goods under the Purchase Agreement may be paid by the Buyer to the Seller using the following methods:

 

8. LIABILITY FOR DEFECTS

8.1 Práva a povinnosti smluvních stran týkajících se práv z vadného plnění jsou upravena zákonem č. 89/2012 Sb., konkrétně v jeho ustanovení § 2099 - § 2112

8.2 Je-li vadné plnění podstatným porušením smlouvy, má kupující právo na odstranění vady dodáním nové věci bez vady nebo dodáním chybějící věci, nebo na odstranění vady opravou věci nebo na přiměřenou slevu z kupní ceny, nebo odstoupit od smlouvy.

8.3 Je-li vadné plnění nepodstatným porušením smlouvy, má kupující právo na odstranění vady, anebo na přiměřenou slevu z kupní ceny.

Zárukou za jakost se prodávající zavazuje, že věc bude po určitou dobu způsobilá k použití pro obvyklý účel nebo že si zachová obvyklé vlastnosti.

Záruční doba běží od odevzdání věci kupujícímu; byla-li věc podle smlouvy odeslána, běží od dojití věci do místa určení.

9. PERSONAL DATA PROTECTION

9.1 The Buyer agrees that the following personal data are processed and used: name and surname, permanent address, company identification number, tax identification number, email address, telephone number, (hereinafter jointly referred to as "Personal Data"). The Buyer agrees and is aware that the Seller shall process the Personal Data for the purpose of exercising rights and obligations resulting from the Purchase Agreement and for the purpose of the User Account administration. The Buyer is aware of the obligation to provide Personal Data (during registration, for the User Account and when placing orders via the E-shop Web Interface) and to provide correct and accurate Personal Data and to inform the Seller about any changes in the Personal Data without undue delay.

9.2 Kupující výslovně souhlasí se zasíláním obchodních sdělení ve smyslu zákona č. 480/2004 Sb., ve znění pozdějších předpisů, prodávajícím na adresu jeho elektronické pošty.

9.3 Kupující dává souhlas a oprávnění k výše uvedenému na dobu neurčitou počínaje dnem odeslání objednávky.

10. FINAL PROVISIONS

10.1 the relationships not regulated by these Commercial Terms are governed by Act No. 89/2012 Coll., the Civil Code, as amended or by other appropriate laws of the Czech Republic.

10.2 If any provision of the Commercial Terms is or becomes invalid or ineffective, the invalidity or ineffectiveness of one provision is without prejudice of the validity of the other provisions.

10.3 All agreements between the seller and the buyer contained in the purchase contract take precedence over the provisions of these terms and conditions, with which they are in conflict.

10.4 If the relationship established by the Purchase Agreement includes an international (foreign) element, the Parties stipulate that such relationship shall be governed by Czech law. This is without prejudice to any consumer rights resulting from the generally binding laws and regulations.
